Rambus is searching for a Corporate Counsel to focus primarily on providing legal support to the Rambus Security Division. As a legal resource for the Rambus Security Division, this role will play a key role in supporting the complex legal needs of a rapidly growing and key component of Rambus’s global business operations.
Providing excellent support to the sales and development teams, including management of technology transfer, development and collaboration agreements, inbound and outbound software and hardware licensing contracts for products and professional services;
Drafting and negotiating all required and relevant transaction documents;
Managing the overall transaction process and collaborating with other legal team members and business partners;
Continuous evaluation and improvement of related business processes and legal templates;
Providing legal analysis and advice to members of senior management team on contract matters;
Active participation and management of various compliance programs and initiatives;
Other general corporate matters and special projects from time to time.
Some international travel required.
Exceptional academic credentials;
5+ years of relevant legal experience at a top-tier law firm and/or as an in-house attorney drafting, reviewing and negotiating a wide variety of transactional agreements, including licensing agreements, supply agreements, joint development agreements, consulting agreements, etc.;
Demonstrated expertise in SaaS and enterprise software licensing;
Experience with entity level compliance and related, policies, controls and procedures;
Significant experience with EU and global privacy compliance, including GDPR;
Prior experience with development, implementation and training of legal and compliance policies and procedures;
Flexibility and willingness to work on a broad variety of legal issues and learn new subject matter;
Must exhibit dedication to client service and responsiveness to requests for legal support to all internal business partners, including across multiple international time zones;
Detail-oriented and able to manage multiple transactions and projects simultaneously under deadline pressure;
Excellent oral and written communication skills, with ability to communicate legal subject matter to non-attorneys;
Excellent interpersonal skills; must work well in fast-paced, highly collaborative, team environment;
Excellent business judgment, ability to think strategically and give practical advice;
Prior in-house experience with a public company and/or experience working in software, semiconductor or related industries preferred.
Familiarity with UK governmental procurement processes (RFI, RFP, RFQ) is a huge plus.
Must be fluent in English (reading and writing), and preferably Dutch. Additional language capability is a plus.
